Our business / corporate transactional practice focuses on serving as legal counsel to clients from startups to middle-market companies. We assist our clients in all aspects of strategic business transactions including corporate formation and governance, mergers, joint ventures, financing deals, disposition events, equity ownership, and business contracts.

We serve as general counsel for our clients by providing business counseling and consistent guidance in connection with contracts, employment issues, business succession planning, potential claims and litigation mitigation, and intellectual property (e.g., fair use and copyright).

Entertainment Transactions

Our entertainment transactional practice focuses on representing clients in film, music, television, and digital / interactive media.

We serve as production counsel on feature films, drafting and negotiating agreements for talent, producers, executive producers, directors, writers and other above-the-line crew.

We negotiate, draft and review various agreements in connection with the development, production, distribution and exploitation of feature films, television programs (scripted and unscripted), digital and other creative content.

We also provide private placement memoranda for equity raises, film financing documents, profit participation agreements, security agreements, and production deal memos.

Litigation Practice

Our attorneys have over 20 years of complex litigation experience, including acting as lead defense counsel in federal and state securities class actions, securities and antitrust investigations, and pre-and post-merger disputes.
